6.A Approval of Meeting Minutes - April 11, 2025 Contracts, Operations, Maintenance, and Safety Committee It is recommended that the Committee approve the Minutes of the April 11, 2025 Contracts, Operations, Maintenance, and Safety Committee. 6.B Memorandum of Understanding No. MU147-14 - National Railroad Passenger Corporation - Extend Agreement and Increase Contract Authority for Red Cap Services at Los Angeles Union Station The Authority is required to continue offering cart service to passengers needing assistance at Los Angeles Union Station (LAUS), as mandated by the Americans with Disabilities Act (ADA). It is recommended that the Committee recommend the Board authorize the Chief Executive Officer to approve amendment No. 6 for a two-year extension and increase contract authority for MOU No. MU147-14 - National Railroad Passenger Corporation (Amtrak) by $307,460 for a not to exceed amount of $1,357,742 for Redcap cart service at LAUS. A portion of the amount for which contract authority is requested is included in the Proposed Operating Budget for FY2025-26 ($153,730) and is contingent upon adoption thereof. Funding for subsequent years (FY2026-27) will be requested through the annual budget or an equivalent process. 6.C Contract No. JO142-25 - Track Rehabilitation Services - Recommendation to Award - DRS Contracting New installation and/or replacement of various track elements along with support for third-party projects are required t o maintain a state of good repair and maintain the safety and reliability of the existing rail system and supporting infrastructure. A new contract is required through which the various track improvement scopes may be implemented. It is recommended that the Committee recommend the Board authorize the Chief Executive Officer to award Contract No. JO142-25 for Track Rehabilitation Services to the lowest responsive and responsible bidder, DRS Contracting, for a not-to-exceed amount of $6,264,000 for a two-year term. The Authority will issue individual Job Orders on an as-needed basis in the first Contracts, Operations, Maintenance, and Safety May 9, 2025 Committee Meeting 3 year and all work must be completed by the end of the second year. This recommendation is subject to the resolution of any timely filed protests. This contract authority is requested to cover approximately $3.46M to be utilized for Capital Projects and $1.45M for Third Party Projects. The amounts for Capital Projects have been approved in Budgets for FY25 and earlier. The third-party projects will be funded by outside parties. 6.D Contract No. SP627-26 - Marketing, Advertising, and Creative Services - Recommendation to Award - Anyone Collective, LLC The Authority requires a full-service marketing agency to provide advertising, creative, and marketing strategy support services. The selected consultant will assist Metrolink in achieving its marketing objectives to increase ridership, reinforce the brand, and engage key audiences. It is recommended that the Committee recommend the Board authorize the Chief Executive Officer (CEO) to award Contract No. SP627-26 with Anyone Collective, LLC to provide Marketing, Advertising, Creative Services for base term of three years with one two-year option, to be exercised at the discretion of the Authority’s CEO, and subject to funding availability. The requested total not-to-exceed contract authority is $8,000,000 for the three-year base period plus $4,000,000 for the option years, for a total of $12,000,000. This award is subject to the resolution of any timely filed protest. Funding for this contract is included in the proposed Fiscal Year 2025-26 Marketing Budget and is contingent upon its adoption by the Authority Board. Funding for subsequent years will be requested through the annual budget process. There is no financial commitment with respect to future years; work will only proceed if funding is approved. 6.E Contract No. EP244-25 - Rehabilitation of Bombardier Out-Of-Service Cars - Recommendation to Award - SYSTRA Canada The Authority intends to rehabilitate eight (8) Bombardier railcars that are currently out-of-service to extend their useful life and support passenger service for the 2028 Olympic and Paralympic Games. It is recommended that the Committee recommend the Board authorize the Chief Executive Officer (CEO) to negotiate and award Contract No. EP244-25 for Rehabilitation of Bombardier Out-Of-Service Cars, to SYSTRA Canada in the amount of $4,165,383.40 plus 20% contingency in the amount of $833,076.68 for total contract authorization amount not-to-exceed of $4,998,460.08. This amount is to rehabilitate eight (8) Bombardier railcars that are currently out-of-service due to obsolete parts and degraded condition from long dwell time. The award is subject to resolution of any timely filed protests. The requested amount of $4,998,460.08 is included in the FY19 and FY21 Capital Budgets adopted by the SCRRA Board of Directors. Implementing these changes over a weekend instead of a weekday will minimize disruption to passengers by supporting a more efficient, customer-friendly transition, which is our priority. I'm item number 6B. Eric talk to us about the MOU. Good morning chair and
members of the committee. My name is Eric L Frank. I'll be presenting item 6B for
MU 14714 red cap agreement. Next slide please. Metrolink is required to provide
CART service at LSN's Union Station for passengers needing assistance. This is
to provide equal access to the platform as required by the ADA. Since Amtrak
already provided the service at Union Station called Redcap, Metrolink entered
an agreement with them to supply the CART and the driver back in 2013. This
amendment has been amended biannually. The benefits to continuing our current
agreement include the use of existing service instead of incurring additional
costs for a new vendor to establish presence at Union Station including vehicles and drivers.
This reinforces our important service relationship between Metro Link and Amtrak and our dedication
to our shared customers. This will result in a minimal cost increase of 1.5%. Next slide,
please. Our recommendations staff is asking committee to recommend the board authorize
as the Chief Executive Officer to approve the amendment
for MU147-14 for a two year extension
and increased contract authority by $307,460
for not to exceed amount of $1,357,742.

Alright, good morning. I actually chaired, I think this highlights the importance of
this item. Janae is actually stuck on a train. Oh, stuck on a train. Due to
state-of-good-repair issues. Next slide please. Okay so this is a contract to
award a contract to for a excuse me for our state of good repair. This is a job
order contract and so this contract will help us deal with grade crossings,
turnouts, ties, rail, base-of-the-rail infrastructure. We the the authority has
utilized these type of job order contracts in the past with great success.
next slide please. So the authority received four bids to the response to our
IFB back in January and a price analysis was completed and we identified
that DRS contracting was the lowest responsive and responsible bidder. Next
slide please. So the recommendation is to award a contract to DRS for these
services in a not to exceed amount of six million two hundred and sixty four
thousand dollars. Next slide and that concludes my presentation I'd be happy

project delivery team I'm here to present the aboard item 6E contract
number EP 244 that's 25 rehabilitation of the auto service Mumbai radar
recommendation to award I'm with the Dorothea Kentaro the contract
administrator for this project next slide out of 258 the authority can it
It has a total of 27 auto service passenger brake cars.
This project is to rehabilitate eight of them returning to revenue service as soon as possible
for state of the good repair so that with more available equipment, we can support the
daily revenue service as well as the 2028 LA Olympics and Paralympics.
RFP number EP 244-25 was issued on July 2024 and we received one proposal, CSRA Canada.
Next slide.
The proposal from CSRA Canada was deemed too responsive and responsible.
By RFP process, we have confirmed that their technical proposal is acceptable for this
project and their price proposal is deemed fair and reasonable due to the 1.88% difference
between independent cost estimate
and final negotiated price.

Therefore, it is recommended that committee recommends
that the board authorize CEO to negotiate
an award contract number EP 244-25
to Sister Canada for rehabilitation
of the Bombarda Auto Service Car Project
and the amount of $4,165,383.40

to exceed of $4,998,460.08. The term of this contract is effective upon
issuance of the notice to proceed and continue
through the acceptance of all subject records.

One is, where will the refurbishment of these rail cars take place, number one?
And then secondly, if you could share when does staff anticipate receipt of these completed rail cars?
Yes, sir. First question, for the first question, this work will be done in the Metronico-Kalo yard,
one mile from the LA Union Station.
And the second question, by the work school, the contractor must complete the work 300 days from NTP.
We're expecting to complete this work, eight out of service car,
all rehabilitated by April, 2026.
That's our target.

And how, I guess my question is, there was one perspective bidder who did not bid on it.
It says, it declined offer based on its own assessment of not all the rail cars who are repairable.
How did that figure into your research on these cars and their, are we going to try to restore them to near new, near new condition?
or are we going to look at just trying to get us
through the Olympics and then maybe a couple of years
after that?
What are your thoughts on that?

was that one of the prospective bidders declined to bid
based on the fact that there are the indication
that not all of the rail cars were repairable.

so I believe you're talking about the old 27 out of search.

Director, this is Justin for LA Chief of Program Delivery.
So, I think the contractor that identified
that it was more of an issue of them
not being able to complete the scope of work
that had been identified, that they weren't capable
to actually prepare these cars completely.
The intent for these cars is a complete overhaul,
almost like new.
We've done something similar with in-service cars
here recently and brought them back,
basically with tearing them down to bare metal
and then rebuilding them back up.
And so that is the intent,
basically like new rebuild of these cars.
Director Engler, the idea here is that we would add
15 years, 15 years to their useful life.
That was I guess to correct my question,
were we just trying to pace these things back together
or what we just indicated, we're going down to the studs
kind of rehab on them.
That's correct, the intent is just as what we've done
with this last overhaul, where we add 15 years
to their useful life.

We had a discussion about this during our briefing,
and it's my understanding that it makes good business sense
to do the rehab even outside of the Olympics.
However, having said that, we're still in negotiations
with LA-28 as far as funding requirements.
So I've just requested that Darren and staff
tracking the expenses that may be attributable
to the Olympics that we have a number that we can look at.
You understand that right, Darren?

And Mr. Chair if I could real quickly make a plug for the work that DK Ha has
done. So we hit a milestone we mentioned the fact that we've been doing an
overhaul for the last several years we did the very first phase was 50 of our
bomb our oldest Bombardier cars we hit that milestone earlier in the last
couple of weeks where the 50th car has rolled back into service and that has
been that project has been led by DK if you've ridden our trains you've seen the
overhauled Bombardier cars they have been a fan favorite by our customers and I
just want to make sure that it doesn't go DK does not go unrecognized for his
work on that effort so thank you mr. chair thank you thank you DK appreciate
all your hard work brings us to item number 6f, 6f train operation maintenance services done.
Good morning directors I will be presenting on contract MSOP 158-24 train operations and
maintenance services. Next slide. A contract amendment is required to revise the MSOP 158-24
contract commencement date from Tuesday July 1st 2025 to Saturday June 28th
2025 for the train operating services component only. Next slide. Implement

morning chair members of the committee. This is a quarterly report for contracts
and third-party agreements awarded in the third quarter quarter of fiscal
year 25. Next slide please. The board has previously authorized the CEO to execute
third-party agreements with other public agencies and contracts with third
parties up to $500,000. The board requested that the CEO provide a quarterly
report for awards between $250,000 and $500,000. This report is for the
agreements awarded in the period between January and March 2025, that's the third
quarter of fiscal year 25. Next slide please. In the period, in this reference
period the CEO awarded three agreements as listed on the board report. Next
please that concludes my presentation and I will be happy to answer any
questions if you may have. Thank you very much Angelo and Darren appreciate the
fact you really didn't spend a lot on your authority that's good. Any questions
on this item? Seeing hearing on that as a receive and file that brings us to
Darren's report. Thank you Mr. Chair as I've reported the last two committees
just a quick update on all the work happening in San Clemente this committee
and the board are aware that we are – we operate under some emergency conditions and
with a emergency permit from the California Coastal Commission to do some work along the
coastline in San Clemente.
Our role is generally placing giant rock on the ocean side of the railroad corridor to
protect the railroad itself.
We have made great progress on that.
There was also a pedestrian walkway that was also part of the project that had to be removed.
That has happened and we have till June 9th under this emergency permit.
We believe we are well on schedule and to continue to complete the work before that
deadline.

Is it me or are we just getting a number of strikes?
It seems to be an exceptional amount and is there any conversation as to why?
Director Spiegel there, it definitely ebbs and flows.
We have had somewhat of an increase and it does seem to go in a, we'll get a series
and then it'll be quiet for a few weeks.
So Hillary Consul, our Chief of Safety, Security, and Compliance, we're tracking this information.
We report back quarterly on where things are.
We have placed cameras and on rights where we have issues.
In some cases, it's our strikes.
In some cases, the strikes that we've had to report on are not Metrolink strikes, but
there are other railroads, most recently both BNSF and Amtrak.
So it is sadly the nature of what we experience on a railroad, but Hillary, can you speak
any more to other – where we're sort of intensifying our efforts?
Yeah.
So we are seeing kind of an – I mean, we're still lower than we were last year, but as
Darren had stated, it does abs and flows, and right now it might be peaking a little
bit.
But we are increasing our right-of-way enforcement with our LA County Sheriff's Department,
And we're doing a lot of trespasser enforcement
along the railroad right of way.
Cause a lot of that is trespassers.
The other thing is our homeless are unhoused.
So we have homeless encampments that we're continually
removing from the railroad right of way
because they do pose a huge risk,
especially being so close to the right of way.
So we're working with our maintenance team,
our right of way or our maintenance away department
and our LA County Sheriff's to get them away
from the railroad right of ways.
Hopefully, we'll be seeing some of those reductions.
But yeah, it is a challenge.
I know that the passengers, and I've gotten communication
from some Orange County folks all over,
and they're getting very frustrated
and ready to give up writing because they can't count on it.
And that's concerning to me.
Yes, and that is concerning to us as well.
We are working with the LA County Coroner's Office
and the Sheriff's Department and because of the incident
the other day we're gonna be start reaching out
to Orange County and coordinating with a lot
of the police agencies and cities who respond
to these incidents because we think there could be
efficiencies with handling the investigation
and that's what I'm trying to get moving forward.

Darren, I know that we have completed train sets
in our system and I know we're getting ready
for the Olympics.
At our capacity for track capacity,
how many more train sets do we need
to be ready for the Olympics?
Well, Director Marquez, that is under development now.
I mean, our direction, as we try to prepare
for the Olympics, recognizing we're not getting
a lot of help yet from the federal government
or the state government to support added additional trains.
Our approach right now is to make sure
that we have every piece of equipment available to us
that we have on our property.
There are some opportunities to potentially lease
a couple of other train sets
if we can get access to funding to do that.
There's a, one of our sister railroads in Minnesota
is probably gonna be going out of business,
so we've put our name in the hat to take on,
potentially take on their equipment.
And it's a combination of equipment
and then storage capacity.
It's not just a matter of where we,
that we have equipment,
but we have limited space to park trains in outlying areas.
So it's a combination of those things.
So our plan is to make sure we have
what we can manage ourselves available,
which would be, I believe, based on our cab car count,
is 52, I believe the number's 52 cab cars.
And that would allow us to run 52 train sets
of different sizes.
